1. Acceptance of Terms

Welcome to Web3Connect. These Terms of Service ("Terms") constitute a legally binding agreement between you and Web3Connect Pty Ltd ("Web3Connect", "we", "us", or "our").

By accessing or using our website at web3connect.com and related services (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

If you are using the Platform on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms refer to both you individually and that entity.

2.4 Sanctions Certification

We reserve the right to block access from sanctioned jurisdictions and to terminate accounts that violate this certification.

3. Account Registration

3.1 Creating an Account

To access certain features of the Platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Partner Accounts

If you register as a Partner (service provider), you additionally agree to:

• Verify your organization's information through our verification process
• Provide accurate information about your services and offerings
• Maintain current pricing and availability information
• Respond to user inquiries in a timely manner
• Comply with our Partner Terms and Community Guidelines

3.3 Account Termination

You may close your account at any time by contacting us at [email protected]. We may suspend or terminate your account if you:

• Violate these Terms or any other Web3Connect policies
• Engage in fraudulent or illegal activity
• Fail to maintain accurate account information
• Are located in or access the Platform from a sanctioned jurisdiction

4. User Content

4.1 Definition of User Content

"User Content" means any content you submit, post, or transmit through the Platform, including:

• Reviews and ratings
• Comments and responses
• Profile information and descriptions
• Logos, images, and other media
• Messages and communications

4.2 License Grant

By submitting User Content, you grant Web3Connect a:

Perpetual, worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from your User Content for the purpose of operating, promoting, and improving the Platform.

This license:

• Continues after you delete your account (for content already published)
• Allows us to display your reviews on the Platform and in marketing materials
• Permits syndication to partners and aggregators
• Enables search engine indexing

4.3 Ownership

You retain ownership of your User Content. This license does not transfer ownership to us. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe any third party's intellectual property or other rights
• Your User Content complies with all applicable laws

4.4 Content Removal

While you retain ownership, we may remove or disable access to User Content that:

• Violates these Terms or our Community Guidelines
• Infringes intellectual property rights
• Is illegal, harmful, or objectionable
• Is the subject of a valid legal request

5. Reviews and Ratings

5.1 Review Guidelines

All reviews must comply with our Review Guidelines. Key requirements include:

• Reviews must be based on genuine, first-hand experience
• Reviews must be honest and not misleading
• Incentivized reviews must be disclosed
• Conflicts of interest must be disclosed

5.2 Incentive Disclosure

If you received any incentive, compensation, discount, or benefit in connection with writing a review, you must disclose this at the time of submission. We will display an appropriate disclosure badge on your published review.

Note: Reviews where the incentive was conditional on providing a positive review are prohibited and will be rejected.

5.3 Review Verification

We verify reviews through various methods including:

• Email verification
• LinkedIn profile verification
• Employment verification
• Project verification

Verified reviews are labeled accordingly. We reserve the right to reject or remove unverifiable reviews.

5.4 Review Moderation

All reviews are subject to moderation before publication. We reserve the right to:

• Approve, reject, or request modifications to reviews
• Remove reviews that violate our guidelines
• Edit reviews for clarity or formatting (without changing meaning)
• Display aggregate ratings and statistics

6. Prohibited Conduct

You agree not to:

• Submit fake, purchased, or incentivized-positive reviews
• Create multiple accounts to manipulate ratings
• Impersonate another person or organization
• Misrepresent your affiliation with any entity

6.2 Harmful Behavior

• Harass, threaten, or abuse other users
• Post defamatory, obscene, or offensive content
• Interfere with the Platform's operation
• Attempt to gain unauthorized access to our systems

6.3 Intellectual Property Violations

• Infringe copyrights, trademarks, or other intellectual property
• Scrape, copy, or redistribute Platform content without permission
• Use Platform data for competing services
• Reverse engineer or decompile our software

6.4 Automated Access

• Use bots, scrapers, or automated tools to access the Platform
• Extract data for use in training AI or machine learning models without permission
• Attempt to bypass rate limits or security measures
• Interfere with other users' access to the Platform

7. Intellectual Property

7.1 Platform Ownership

The Platform and its original content, features, and functionality are owned by Web3Connect and are protected by copyright, trademark, and other intellectual property laws.

Our intellectual property includes:

• The Web3Connect name, logo, and branding
• Website design and user interface
• Quality scores, algorithms, and methodologies
• Aggregated data, statistics, and analytics
• Documentation and written content

7.2 Trademarks

"Web3Connect" and related names, logos, and marks are trademarks of Web3Connect Pty Ltd. You may not use our trademarks without prior written permission.

7.3 Third-Party Intellectual Property

The Platform may display trademarks, logos, and content belonging to third parties (such as Partner logos). These remain the property of their respective owners.

We use Moz Domain Authority as part of our quality scoring. "Domain Authority" is a trademark of Moz, Inc. Web3Connect is not affiliated with or endorsed by Moz.

8. Third-Party Content and Links

8.1 Third-Party Content

The Platform displays information provided by Partners and other third parties. We do not guarantee the accuracy, completeness, or reliability of this content.

You acknowledge that:

• Reviews represent individual opinions, not Web3Connect's endorsement
• Partner information is provided by Partners and may not be current
• Quality scores are based on available data and methodology, which may have limitations

8.2 External Links

The Platform may contain links to third-party websites. We are not responsible for the content or practices of these websites. Accessing third-party links is at your own risk.

9. Subscription Services

9.1 Paid Features

We offer paid subscription services including:

• Web3 Pro: Enhanced Partner features
• Visibility Boost: Increased exposure on the Platform

9.2 Billing

Subscription fees are billed through our payment processor, Stripe. By subscribing, you agree to:

• Pay all fees associated with your subscription
• Maintain valid payment information
• Authorize recurring charges according to your billing cycle
• Review and accept Stripe's Terms of Service

9.3 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial periods
• You may resubscribe at any time

9.4 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new price.

• Your violation of these Terms
• Your violation of any third party's rights
• Your violation of any applicable law
• Any false representation made by you

We reserve the right to assume exclusive defense of any matter subject to indemnification. You agree to cooperate with our defense of any such claims.

13. Dispute Resolution

Before initiating formal proceedings, you agree to contact us at [email protected] to attempt informal resolution of any dispute. We will work in good faith to resolve disputes within 30 days.

These Terms are governed by the laws of Victoria, Australia, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

13.4 Waiver of Class Actions

To the maximum extent permitted by law, you waive any right to bring disputes as a class action or participate in a class action against Web3Connect.

14. Modifications to Terms

We may modify these Terms at any time by posting the updated Terms on the Platform. Material changes will be notified via:

• In-app notification

Continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Web3Connect regarding the Platform.

15.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemic, strikes, or government actions.
